Welcome to CircularBuild. These Terms of Service (“Terms”) govern your access to and use of the CircularBuild website, marketplace, and related services.

By accessing or using CircularBuild, creating an account, purchasing a product, or listing products as a vendor, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use the website or its services.

1. About CircularBuild

CircularBuild is an online marketplace that connects buyers with independent vendors offering new, leftover, surplus, reclaimed, or previously used building and construction materials.

CircularBuild provides the online platform through which vendors can submit products and buyers can browse and purchase available products.

Products submitted by vendors are subject to review and approval by CircularBuild before they are published on the marketplace.

2. Eligibility

To use CircularBuild, you must:

  • Provide accurate and complete information when creating an account.
  • Keep your account information up to date.
  • Be legally capable of entering into a binding agreement.
  • Use the website only for lawful purposes.
  • Not use the website to engage in fraudulent, misleading, or unlawful activities.

CircularBuild reserves the right to suspend or terminate accounts where information is inaccurate, fraudulent, or in breach of these Terms.

3. User Accounts

Certain features of CircularBuild may require you to create an account.

You are responsible for:

Vendors may submit products for consideration through the CircularBuild marketplace.

When submitting a product, vendors must provide accurate information, including where applicable:

  • Product condition.
  • Quantity available.
  • Price.
  • Product location.
  • Product images.
  • Other information reasonably required to describe the product.

Submitting a product does not guarantee that it will be published.

All submitted products are subject to CircularBuild’s review and approval process. Products may remain in draft status until they have been approved by CircularBuild.

CircularBuild may reject, remove, or request changes to a product listing where the listing does not meet marketplace requirements or where the information provided is inaccurate, misleading, incomplete, or otherwise unsuitable.

5. Vendor Responsibilities

Vendors are responsible for ensuring that:

  • They have the legal right to sell the products they list.
  • Product descriptions and images are accurate.
  • Product condition is accurately disclosed.
  • Product quantities and availability are kept up to date.
  • Prices are accurate.
  • Products comply with applicable laws and regulations.
  • Orders are fulfilled accurately and within the agreed timeframe.
  • Products are properly prepared for collection or delivery, where applicable.

Vendors must not list counterfeit, stolen, illegal, hazardous, or otherwise prohibited products.

CircularBuild may remove any listing that violates these Terms or applicable requirements.

6. Product Information and Condition

Building materials listed on CircularBuild may be new, leftover, surplus, reclaimed, or previously used.

Buyers should carefully review the product description, images, condition, quantity, dimensions, location, and other available information before purchasing.

Where appropriate, buyers should contact the vendor through the available marketplace channels to clarify product details before placing an order.

CircularBuild does not guarantee that every product will meet a buyer’s individual requirements, and buyers are responsible for reviewing the information provided before purchasing.

7. Orders and Purchases

When a buyer places an order, the buyer agrees to purchase the selected product subject to these Terms and the information provided in the relevant product listing.

An order may be subject to product availability and confirmation.

CircularBuild may cancel or decline an order where:

  • The product is no longer available.
  • The listing contains an obvious error.
  • There is suspected fraud or unauthorized activity.
  • The transaction cannot be processed.
  • The order otherwise violates these Terms or applicable requirements.

If an order is cancelled and a payment has already been processed, any applicable refund will be handled in accordance with our Refund Policy.

8. Payments

Payments made through CircularBuild are processed using the payment methods and payment service providers made available on the website.

CircularBuild does not store customers’ full payment card details.

Payment processing may be subject to the terms, conditions, and privacy practices of the relevant payment service provider.

A buyer may also be charged applicable marketplace or buyer protection fees where these are clearly displayed before payment.

9. Buyer Protection and Refunds

CircularBuild may provide buyer protection in accordance with the applicable terms displayed on the website and our Refund Policy.

Where a buyer believes that an order qualifies for a refund or dispute, the buyer must submit the request within the applicable timeframe and provide relevant information or evidence.

Refund requests may be reviewed by CircularBuild and, where applicable, the relevant vendor.

Any approved refund will be processed in accordance with CircularBuild’s Refund Policy and the payment provider’s applicable procedures.

The availability of a refund is subject to the circumstances of the transaction and the requirements of the applicable Refund Policy.

10. Delivery, Collection and Product Location

Delivery or collection arrangements may vary depending on the vendor, product, and location.

Where delivery is offered, the applicable delivery information, costs, and arrangements should be reviewed before completing the purchase.

Where a product is offered for collection, the buyer may be required to collect the product from the location specified by the vendor.

Vendors are responsible for providing accurate product-location information and fulfilling the delivery or collection arrangements applicable to their listings.

11. Marketplace Relationship

CircularBuild operates as a marketplace platform connecting buyers and independent vendors.

Unless expressly stated otherwise, vendors remain responsible for their products, product information, fulfilment obligations, and compliance with applicable laws.

CircularBuild does not manufacture the products listed by vendors and does not independently guarantee the quality, suitability, condition, availability, or performance of every product listed on the marketplace.

12. Prohibited Activities

Users must not:

  • Use CircularBuild for unlawful purposes.
  • Provide false or misleading information.
  • Create fraudulent accounts or transactions.
  • Attempt to circumvent payment or marketplace processes.
  • Upload malicious software or harmful code.
  • Interfere with the operation or security of the website.
  • Scrape, copy, or reproduce marketplace content without authorization.
  • Attempt to gain unauthorized access to another user’s account.
  • List prohibited, stolen, counterfeit, or illegal products.
  • Use CircularBuild to facilitate fraud or other unlawful activity.

CircularBuild may suspend or terminate access where prohibited activity is identified.

13. Intellectual Property

Vendors retain ownership of content they submit, subject to granting CircularBuild the necessary rights to display, reproduce, and use that content for operating and promoting the marketplace.

14. User-Submitted Content

By submitting product descriptions, photographs, or other content to CircularBuild, you confirm that:

  • You have the right to submit the content.
  • The content is accurate to the best of your knowledge.
  • The content does not infringe another person’s rights.
  • The content does not contain unlawful or misleading material.

You grant CircularBuild a non-exclusive right to use, display, reproduce, and distribute submitted content as reasonably necessary to operate and promote the marketplace.

15. Website Availability

CircularBuild aims to keep the website available and functioning reliably but does not guarantee that the website will always be available, uninterrupted, or error-free.

Maintenance, technical issues, updates, security incidents, or circumstances outside our reasonable control may temporarily affect availability.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

18. Indemnification

To the extent permitted by applicable law, users agree to indemnify and hold CircularBuild harmless from claims, losses, liabilities, damages, and expenses arising from:
